1. Acceptance of Terms

By accessing or using Textiful, Textiful.co (“Service”) as a trading name of Goodbrand PTY LTD, you agree to comply with these Terms and Conditions (“Terms”). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and customers.

This Acceptable Use Policy (“Policy”) is part of the Textiful Terms of Service and applies to all use of the Textiful Services and Technology (including but not limited to SMS, MMS, webchat, voice, and other messaging channels made available through the Services). By using Textiful, you agree to comply with this Policy.

The purpose of this Policy is to ensure that communications sent through Textiful reach their intended recipients while protecting against spam, fraud, abuse, and unlawful content.

2. Service Description

Textiful.co provides:

  • All-in-one business texting for marketing, two-way SMS, reminders, and communication.
  • Tools and features accessible via https://textiful.co.

We reserve the right to modify or discontinue the Service without notice.

3. Account Registration

You must provide accurate information when creating an account.

You are responsible for:

  • Maintaining account security.
  • All activities under your account.
  • Notifying us immediately of unauthorized access.

Accounts must not be shared or transferred.

4. User Responsibilities

You agree not to:

  • Use the Service for illegal activities or violate third-party rights.
  • Upload harmful content (e.g., malware, hate speech).
  • Reverse-engineer, scrape, or exploit the Service.
  • Impersonate others or interfere with Service operations.

5. Consent Requirements

1.1 Standard Consent

  • You must obtain valid, express consent (“opt-in”) before sending any message.
  • Consent must be specific to your brand, use, and message type. Blanket or purchased lists are not valid.
  • Retain proof of consent (e.g., signed form, digital record, timestamp).
  • If you delay messaging after obtaining consent, reconfirm before sending.

1.2 Alternative Consent

  • Individual-Initiated Contact: If a person messages you first, you may reply only to that thread.
  • Prior Relationship: You may message users who provided their number and triggered a communication (e.g., booking, purchase) if they haven’t opted out.
  • Allowed messages: receipts, reminders, updates, OTPs — no marketing under this category.

1.3 Ongoing Messaging

  • Provide clear opt-out (e.g., “Reply STOP to unsubscribe”).
  • Respect user preferences and frequency limits.
  • Periodically reconfirm consent where required by law.

2. Sender Identification

Every message must clearly identify you as the sender, except in follow-up replies.

3. Opt-out Requirements

  • The first message must include opt-out instructions (“Reply END to unsubscribe”).
  • Users can revoke consent anytime by replying with valid keywords (STOP, END, UNSUBSCRIBE, QUIT).
  • After opt-out, you may send one confirmation message only.

4. Prohibited Content

  • Spam or unsolicited marketing without valid consent.
  • Purchased/rented contact lists.
  • Fraudulent or illegal activity (e.g., scams, phishing, drugs, gambling).
  • “SHAFT” categories: Sex, Hate, Alcohol, Firearms, Tobacco (including vaping).
  • Infringing or offensive content.
  • Malware, viruses, or evasion of filtering mechanisms.

5. Prohibited Messaging Practices

  • No bots, falsified headers, or misleading sender info.
  • No “snowshoeing” (sending identical messages across numbers).
  • No public URL shorteners — use a dedicated domain.

6. Payment Services Restrictions

You may not process payments for prohibited industries under the Textiful Payment Service Terms.

7. Reverse Engineering & Security

  • No reverse engineering, decompiling, or extracting source code.
  • No bypassing rate limits or security features.
  • No removing proprietary notices.

8. Scope of Use & Fair Use

Services (Bulk Messaging, Automations, API, etc.) must follow your subscription limits. “Unlimited” use applies only to normal business use.

9. Monitoring & Enforcement

Textiful may monitor activity, investigate violations, and suspend or terminate accounts. Illegal activity may be reported to authorities.

10. Reporting Violations

Report any violations to hello@textiful.co and assist in resolving them.

6. Payments & Subscriptions

Paid plans require valid payment via approved gateways (e.g., Stripe, PayPal). Fees are non-refundable unless required by law. Pricing changes may occur with 30 days’ notice. Plans renew automatically; cancel anytime via dashboard.

7. Intellectual Property

All Service-related content (logos, software, design) is owned by Textiful.co or licensors. You may not copy, modify, or resell without permission.

8. Termination

You may close your account anytime. We may suspend or terminate accounts for violations, inactivity, or fraud. Upon termination, data may be deleted per our Privacy Policy.

9. Disclaimers & Limitations

The Service is provided “as-is.” Textiful disclaims all warranties. We are not liable for indirect, incidental, or consequential damages, including loss of data or profits. Maximum liability is limited to fees paid within the past 6 months.

10. Governing Law & Disputes

These Terms are governed by the laws of Victoria, Australia. Disputes will be resolved via binding arbitration. Class actions are waived.

11. Changes to Terms

We may update these Terms periodically. Continued use constitutes acceptance. Material updates will be notified via email or alerts.
